Gide advised Olympique Lyonnais on the sale to Michele Kang of a 52.91% stake in the capital and voting rights of Olympique Lyonnais Féminin, which owns the Olympique Lyonnais women's professional football team.
Prior to the transaction, the Olympique Lyonnais Association spun off the women's team into a sports company independent of the company owning the men's club, a first in France to date.
The transaction was accompanied by the conclusion of a number of operational agreements, in particular relating to real estate and intellectual property rights.
The Gide team comprised Olivier Diaz, Agathe Delalande, Anaïs Roudel and Charlotte Duval on the corporate/M&A aspects, Emmanuel Larere and Ludivine Meissirel-Marquot on the intellectual property aspects, Frédéric Mion and Thomas Brusq on the sports law aspects, Constantin Miliotis and Antoine Fondacci on the property law aspects, Pauline Manet on the employment law aspects and Thierry Dor and Altea Agolli on the personal data aspects.
OL was also advised by EY on corporate matters (Julie André, Edouard Billioud) and tax matters (Lionel Benant, Pierre-Antoine Quatrhomme, Brice Bleton).
