Gide is advising Groupe Bruxelles Lambert ("GBL"), a leading European listed investment firm, in connection with the negociations of a business combination of Webhelp, 61.5% owned by GBL, and US-based group Concentrix, listed on Nasdaq (the "Transaction") creating a prominent global player in customer experience ("CX"). The Transaction values Webhelp at approximately US$4.8 billion (including net debt).
GBL, as the majority shareholder of Webhelp, has supported this Transaction alongside Webhelp’s co-founders, Olivier Duha and Frédéric Jousset, and management.
Upon consummation of the Transaction1, paid partially in cash (part of which deferred) and partially in Concentrix shares, GBL would become the largest shareholder of the combined group and would be represented on its Board of Directors.
This Transaction is in line with the strategy GBL initiated in 2019 to invest in solid, fast-growing private platforms well positioned to participate in sector consolidation and attain leadership.
