Gide, counsel to AMEA Power on the financing of a 100MWac (120MW peak) photovoltaic solar power plant in Kairouan, Tunisia
Gide has advised Dubai-based renewable energy project developer AMEA Power on the development and financing of a 100MWac (120MW peak) solar photovoltaic power plant in Kairouan, owned by its Tunisian subsidiary.
The project, which led to the signing of a concession agreement with the Tunisian government and a power purchase agreement with Société Tunisienne de l'Électricité et du Gaz (STEG), is part of a development plan for large-scale solar projects in Tunisia and is one of five projects to be awarded in 2019 following an international call for tenders. The Tunisian government plans to increase the share of renewable energies in the country's total energy resources to 35% by 2030. To achieve this objective, the government launched three new calls for tender at the beginning of the year for the development of several renewable energy projects (wind and photovoltaic) with a combined capacity of 1,600 MW.
The project will be the first large-scale privately financed solar project in Tunisia and one of the largest public-private partnership infrastructure projects in the country in the last ten years.
The signing ceremony for the financing documentation took place in Tunis at the Palais de La Kasbah on 26 September 2023 in the presence of the Head of Government and representatives of the lenders, the International Finance Corporation (IFC) and the African Development Bank (AfDB).
The Gide team comprised Victor Grandguillaume, partner, Frédéric Pia, counsel, Edouard Bourguet, Claire Labouré, Elise Lefort and Lucas Aichelmann, associates, for the project documentation; for the financing documentation, Marie Bouvet-Guiramand, partner, and Pauline Coulon, associate, from the Paris office and Colin Graham, partner, and Aurora Bouyer, associate, from the London office; and for the Tunisian law aspects, Anis Jabnoun, partner, and Mohamed Essid, associate, from the Tunis office.
The lenders were advised on the Tunisian legal aspects by Clifford Chance and Ferchiou & Associés.
