Caroline Lan, associée au sein de l'équipe m&a de Gide, avocat aux barreaux de Paris et New York, est spécialisée dans les opérations de fusions-acquisitions, de private equity et de marchés de capitaux. Forte d'une solide formation fiscale, Caroline a ensuite développé son expertise en passant 8 ans au sein d'un cabinet spécialisé dans le conseil aux dirigeants, puis 4 ans au sein d'un cabinet US spécialisé en private equity, avant de revenir chez Gide.

Elle co-dirige aujourd'hui avec Jean-François Louit, associé, une équipe dédiée et reconnue qui conseille ses clients, dirigeants et fondateurs d'entreprises, dans diverses transactions (réorganisation d'entreprise, LBO, IPO, fusions et acquisitions publiques et privées) et contextes actionnarial, tels que des groupes familiaux, des groupes détenus par des fonds de private equity, des sociétés cotées et non cotées, notamment en ce qui concerne les questions liées à l'accès au capital, aux mécanismes d'incentive du management et à la gouvernance.

Elle a récemment participé à des opérations majeures, telles que l'acquisition auprès d'Icade par les fonds conseillés par Primonial Reim d'une participation au sein de la foncière de santé Icade Santé, la cession par Primonial de sa filiale La financière de l'échiquier à la banque postale, ou encore l'ouverture du capital de plusieurs groupes de radiologues préalablement regroupés aux fonds Parquest.

Elle a également conseillé des groupes cotés et familiaux pour la mise en place de différentes structure d'investissement ou d'incentive du management, ainsi que plusieurs équipes de management dans le cadre d'opérations de LBO majeures comme la reprise du groupe April par KKR ou encore le fondateur et le management du groupe coté Cast dans le cadre de l'acquisition d'une participation majoritaire par les fonds Bridgepoint.
