Gide is advising LFPI and Amundi, shareholders of Mura, on signing a Memorandum of Understanding between CGI France and Mura, the majority shareholder of Umanis (Euronext Growth - FR0013263878 - ALUMS), regarding the acquisition by CGI France of approximately 70.6% of the share capital of Umanis, at a price of €17.15 per share.
Umanis is a digital services company specialised in data, digital and enterprise solutions with annual revenues of approximately €246 million. Umanis has been operating for more than 30 years, mainly on the French market.
Subject to the completion of the acquisition of the Mura-held block (which is subject to the fulfilment of various conditions precedent customary for this type of transaction), CGI France would launch a simplified tender offer to acquire the remaining Umanis shares at a price of €17.15 per share.
The block purchase agreement would be signed only after the completion of the information and consultation procedures with the relevant employee representative bodies of Umanis and CGI France.
The acquisition of the block and the filing of the draft simplified tender offer with the French Financial Markets Authority (Autorité des Marchés Financiers) are expected to be completed by the end of the second quarter of 2022.
