Caroline Lan, a partner in Gide's M&A team, is a member of the Paris and New York bars and specializes in M&A, private equity and capital markets transactions. With a strong tax background, Caroline then developed her expertise by spending 8 years with a firm specializing in executive advisory services, followed by 4 years with a US firm specializing in private equity, before returning to Gide.

Today, she co-leads with partner Jean-François Louit a dedicated and recognized team that advises clients, managers and founders of companies, in various transactions (corporate reorganizations, LBOs, IPOs, public and private mergers and acquisitions) and shareholder contexts, such as family-owned groups, groups owned by private equity funds, listed and unlisted companies, in particular with respect to issues related to access to capital, management incentive mechanisms and governance.

She has recently been involved in major transactions, such as the acquisition from Icade by funds advised by Primonial Reim of a stake in the healthcare real estate company Icade Santé, the sale by Primonial of its subsidiary La financière de l'échiquier to Banque Postale, and the opening up of the capital of several radiology groups previously grouped together to Parquest funds.

She has also advised listed and family-owned groups in setting up various investment or management incentive structures, as well as several management teams in major LBO transactions such as the takeover of the April group by KKR, or the founder and management of the listed Cast group in the acquisition of a majority stake by Bridgepoint funds.
