Lawyers from the capital markets practice at Gide Warsaw advised Haitong Bank, S.A. (branch in Poland) and mBank S.A. on the process of issuing bonds with a total value of PLN 200 million.
The clients were supported in the transaction by a team of lawyers including advocate Michał Śmiechowski and attorney-at-law Przemysław Kopka. The capital markets practice provided comprehensive legal assistance, including legal advice to the banks as the organisers of the bond issue programme. Gide Warsaw also acted as the collateral administrator for the bonds issued under the programme.
We are pleased to had the opportunity to advise on this transaction, said Michał Śmiechowski, counsel from the capital markets team at Gide Warsaw. The transaction required the involvement of several entities, as well as cooperation with KDPW S.A. and the Warsaw Stock Exchange S.A., so that an appropriate public information document could be prepared at the same time. This allowed the issue to be settled in the delivery vs payment mode on the issue date, meaning that the bonds, secured by individual companies from the issuer's capital group, could be introduced to trading on that date.
