Gide has assisted the bank syndicate made up of Goldman Sachs, Citigroup, JMP Securities, H.C. Wainwright & Co. and Bryan Garnier & Co, on the USD 143-million capital increase of DBV Technologies, in the form of American Depositary Shares (ADS) in the US, and an ordinary shares private placement in Europe.
The ADS are admitted to trading on Nasdaq Global Select Market, while the ordinary shares are admitted to trading on Euronext Paris. This funding round aims to finance the preparation of Viaskin®Peanut's marketing, and the development of its other candidate products.
Gide advised the bank syndicate with a team headed by partner Arnaud Duhamel, working with counsel Guilhem Richard and associates Aude-Laurène Dourdain, Mariléna Gryparis and Lou Recht.
McDermott Will & Emery advised DBV Technologies. DBA Associés also advised DBV Technologies.
Law firms Goodwin and Cooley, respectively counsel to the banks and the issuer, also advised on aspects of US law.
