Gide has advised Rgreen Invest, IDIA Capital Investissement, Bpifrance and Sofilaro on the EUR 30 million fundraising of Sun'R, market leader in energy, agricultural and ecological transitions and pioneer of dynamic agrivoltaics in France.
This fundraising will boost the development of Sun'R both in France and abroad, in line with its status of "mission company" (entreprise à mission).
As part of this fundraising, Sun'R issued Responsible Bonds Convertible into Shares, a tailor-made quasi-equity instrument that enables the company to benefit from more favourable financial conditions in the event of an improvement in its environmental and social performance, and thus creates an alignment of interests between the various stakeholders.
The investors' legal team comprised Eric Le Cann (IDIA Capital Investissement) and Amira Mnafek (Bpifrance).
Gide's team advising the investors comprised partner Alexis Pailleret, working with associate Chloé Bouhours on M&A and financing aspects; partner Caroline Lan on management package aspects; partner Paul de France on tax aspects; partner Foulques de Rostolan and associate Maxime Redon on employment law aspects; counsel Jean-Sébastien Bazille and associate Victor de Belot on litigation aspects; counsel Lucie Pernet on urban planning aspects; associates Emma George and Sarah Assayag on energy law aspects; associate Laure Dufour on environment law aspects; associate Claire Labouré on project aspects; associates Paul Cheysson and Alexandre Rennesson on aspects of public and private real estate law; and associate Luca Chevallier on aspects of intellectual property.
