Gide has advised Italian press group Arnoldo Mondadori Editore on the capital increase of French media group Reworld Media SA, reserved for Mondadori and carried out via the issuance of ordinary shares with cancellation of preferential subscription rights.
This transaction follows the full sale of Mondadori France's capital to Reworld Media, which was finalised on 31 July 2019. It increases Mondadori's stake in the capital of Reworld Media from 8% to 17.3%.
Gide's team advising Mondadori was headed by partner Jean-Gabriel Flandrois, working with partner Charles de Reals and counsel Cira Veronica Caroscio on corporate/M&A aspects.
