Jean-Gabriel Flandrois is a partner within Gide's M&A / Corporate practice group. He is also in charge of the firm's Restructuring - Distressed M&A practice group.
He regularly coordinates cross-border operations in Europe and the MENA region, and has gained extensive experience in the acquisition and restructuring of banks and other financial institutions. In France, Jean-Gabriel regularly advises on private equity transactions and is involved in transactions in the FinTech sector.
Jean-Gabriel has recently advised Fnac Darty on the acquisition of Nature et Découvertes and on its strategic partnership with CTS Eventeam; BNP Paribas on the disposal of its banking subsidiaries in Gabon and the Comoros; BNP Paribas Cardif on implementing a new corporate partnership with Matmut in damage insurance; Arnoldo Mondadori Editore on the sale of Grazia and its other press publications in France to Reworld Media.
Jean-Gabriel has also advised VimpelCom on the sale of its 51% stake in the share capital of Orascom Telecom Algérie (Djezzy) to the Algerian National Investment Fund (Fonds National d'Investissement FNI); German media group ProSiebenSat.1 on buying a stake in Deezer; and various banks and other investors on the incorporation of Liquidshare, a new blockchain infrastructure.
As regards his Restructuring practice, Jean-Gabriel has recently advised La Mutuelle des Etudiants and Stentys on their safeguard procedures, and the French entities of group Fintyre on their European cross-border restructuring operations. He has also advised Virgin France on the sale of its international activities; Investindustrial on the acquisition of Selective Beauty as part of a global financial restructuring; and DFDS Seaways on the sale by Eurotunnel of its shipping assets, and in the crisis resolution protocol entered into with MyFerryLink / SCOP SeaFrance.
