Gide advised Qemetica (formerly CIECH S.A.) on signing and closing a PLN 3.400.000.000 loan agreement with a consortium of 10 Polish and international banks.
The financing consortium consisted of BNP Paribas Bank Polska S.A., PKO Bank Polski S.A., Bank Pekao S.A., Bank Millennium S.A., ING Bank Śląski S.A., Credit Agricole Bank Polska S.A., Industrial and Commercial Bank of China (Europe) S.A. Oddział w Polsce, mBank S.A., Société Générale S.A. Oddział w Polsce and Citi Bank Handlowy w Warszawie S.A.
The funds obtained will be used to refinance the company's existing debt, finance the acquisition of a precipitated silica business and support its ongoing operations.
The team, led by Dariusz Tokarczuk, partner, and Marta Karmińska, of counsel, was responsible for providing comprehensive support to Qemetica during the transaction, including the preparation and negotiation of loan documentation.
Qemetica is a Polish chemical company with activities in the areas of soda, brewing salts, plant protection products, polyurethane foams, silicates and glass, as well as rail transport services and other things. Qemetica has nine production facilities in Poland and Germany, as well as distribution companies in the plant protection products business in several European countries. It employs nearly 3,500 people.
