Gide has advised Goldman Sachs Bank on financing granted to affiliates of Cerberus Capital Management for the acquisition of over 10,000 loan portfolios from Intrum, with a nominal value of EUR 33bn and a book value of EUR 1.0bn across 13 European jurisdictions. The Scandinavian company Intrum is Europe's largest bad debt manager, operating on 20 markets, including Poland since 1998, where it employs several hundred people.
The Gide team, comprising partner Paweł Grześkowiak, and Paweł Wasiel, with support from of counsel Marta Karmińska, and Szymon Makowski, provided comprehensive advice to Goldman Sachs in structuring the transaction and negotiating a syndicated facilities agreement, as well as security documents.
As part of the transaction, we also advised the client on all aspects of debt fund operations in Poland (including negotiating amendments to the fund's statute, servicing agreement, cooperation agreements and other agreements regulating the activity and management of debt funds in Poland).
