Gide assisted Enterprise Investors in the sale of intive group companies involved in digital product development to Mid Europa Partners.
In December, as part of the project, the firm advised on the signing of an agreement under which Enterprise Venture Fund I (EVF) and Polish Enterprise Fund VII (PEF VII), managed by Enterprise Investors (EI), will sell intive S.A. and its subsidiaries, which are a global group engaged in the development of software enabling the process of the digital transformation of enterprises for the needs of clients from various sectors of the economy.
The assistance included comprehensive legal advisory services related to the preparation for sale and subsequent sale of intive S.A. and its subsidiaries. The law firm was responsible for preparing a due diligence report on intive S.A., coordinating the due diligence process of foreign companies from the group, assisting with the preparation of the virtual data room, preparing comprehensive transactional documentation and carrying out activities related to signing the agreement.
The price for the purchased shares is about EUR 100 million. The transaction is scheduled to be closed in the first quarter of 2019, and depends on obtaining consent from the Office of Competition and Consumer Protection.
