18 September 2012: Gide advises on the issuance of convertible bonds by Faurecia
Faurecia has successfully completed an offering of bonds convertible into and/or exchangeable for new or existing shares ("OCEANE") due 1 January 2018, for an amount of approximately EUR 250 million. The nominal value of the bonds was set at EUR 19.48 with a nominal annual interest rate of 3.25%. Settlement and delivery of as well as admission to trading of the bonds on the regulated market of NYSE Euronext in Paris took place on 18 September 2012.
This offering was led by Société Générale Corporate & Investment Banking as Global Coordinator, Joint Lead Manager and Joint Bookrunner, as well as by BNP Paribas, Crédit Agricole Corporate & Investment Bank and Lazard-Natixis as Joint Lead Managers, and Joint Bookrunners, and HSBC as Co-Lead Manager.
Gide Loyrette Nouel advised the banking syndicate with Arnaud Duhamel, Stéphane Jaffré and Bastien Raisse advising on French law aspects and Melinda Arsouze and Scott Logan advising on U.S. law aspects.
