23 January 2012: Gide advises on major trade receivables securitisation
Gide Loyrette Nouel has been involved in an asset backed commercial paper pan-European trade receivables securitisation transaction arranged by BNP Paribas for a leading drug manufacturer. The transaction, which has been implemented in two phases, involved the "true sale" assignment of trade receivables originated by various subsidiaries of the originator in six major European jurisdictions. The receivables are denominated in both Sterling and Euro.
The deal has been specifically structured to achieve an off-balance sheet accounting treatment for the assigned receivables under US GAAP.
Gide Loyrette Nouel London and Paris, and their corresponding law firms, advised BNP Paribas.
This deal demonstrates Gide's ability to advise on leading asset backed commercial paper transactions, based on its well established reputation and know-how on this type of securitisation. This also confirms investors' appetite for asset backed commercial paper transactions.
