Gide’s Casablanca, Paris, Brussels and Tunis offices assisted SPE Capital, a private equity firm focused on Africa and the Middle East, on its equity investment of approximately MAD 330 million (c. USD 33 million) for the acquisition, by its private equity fund SPE AIF I, of a majority stake in Outsourcia group (“Outsourcia”), a leading Moroccan customer experience and business process outsourcing provider.
The contractual documentation was executed on May 17th, 2022, and the completion of the transaction is subject to the satisfaction of several conditions precedent (including merger control clearance in Morocco and Tunisia).
SPE Capital is a boutique private equity firm formed in 2016 from a spinout from Swicorp, a leading regional investment banking firm (Africa and Middle East).
Gide's team was coordinated by partner Simon Auquier and counsel Chloé Joachim de Larivière in Casablanca. Partner Ségolène Pelsy and associate Perceval Renié (Gide Brussels) handled antitrust aspects and merger filings, with the assistance of senior associate Anis Jabnoun (Gide Tunis). Partner Caroline Lan and senior associate Pierre-Guillaume Sagnol (Gide Paris) were in charge of management package issues.
