Gide advised the banking syndicate made up of Jefferies LLC, Leerink Partners and Guggenheim on the capital increase by Nanobiotix reserved to category of investors, for an estimated total gross amount of USD 33.6 million, after partial exercise of the over-allotment option, through an offering of American Depositary Shares (ADS) in the United States and a private placement of ordinary shares in Europe.
Concomitantly, Nanobiotix issued shares, in the form of restricted ADSs, to Johnson & Johnson Innovation - JJDC, Inc. for USD 20.2 million.
The ordinary shares are listed for trading on the regulated market of Euronext Paris and the ADSs are listed for trading on the Nasdaq Global Select Market.
Nanobiotix is a late-clinical stage biotechnology company pioneering physics-based approaches to expand treatment possibilities for patients with cancer.
Gide also advised the banks on the initial public offering of Nanobiotix on the Nasdaq Global Select Market in December 2020.
