Gide has assisted the bank syndicate on Veolia's share capital increase with preferential subscription rights, for a total amount of approximately EUR 2.5 billion (issue premium included). The proceeds of the share capital increase will be used to partially finance the tender offer on Suez shares and enable Veolia to acquire the strategic assets needed to pursue its goal of building a world champion in ecological transformation.
The share capital increase was launched on September 16, 2021; settlement-delivery and admission to trading of the new shares occurred on October 8, 2021.
Gide acted for BofA Securities, BNP Paribas, Crédit Agricole Corporate and Investment Bank, Deutsche Bank Aktiengesellschaft, HSBC Continental Europe and Morgan Stanley Europe SE as Joint Global Coordinators and Joint Bookrunners, Barclays Bank PLC, Citigroup Global Markets Inc., Credit Suisse Securities Europe Ltd, Joh. Berenberg, Gossel & Co. KG, Mizuho International PLC and Natixis as Joint Bookrunners.
