Gide has advised Cofinimmo on entering the capital of real estate company SCI Foncière Croix Rouge, an alternative investment fund set up by the French Red Cross (Croix Rouge) and owning six follow-up care and rehabilitation clinics (cliniques de soins de suite et de réadaptation, or SSR) of which two also offer medical, surgical and obstetrics care.
Cofinimmo acquired a 39% share in the SCI. Two representatives of Cofinimmo will also sit on the SCI's board of directors.
The portfolio is valued at over EUR 190 million, and the number of sites owned could increase in the coming years. All assets are leased to the French Red Cross.
Gide's team advising Cofinimmo comprised partner Didier Martin, working with associates Elise Bernard and Anaïs Roudel on Corporate/M&A aspects; counsel Alexandre Bochu and associate Sacha Najafi on structuring and tax aspects; associates Etienne Chesneau and Cécile Régnier on real estate aspects; and partner Guillaume Goffin on regulatory aspects.
The French Red Cross was advised by De Pardieu Brocas Maffei on structuring, tax, corporate and financing aspects. Winston & Strawn also advised the French Red Cross on contractual aspects.
