Gide has advised the Icicle group, a high-end Chinese fashion brand, on its buy-out of the luxury label Carven through its subsidiary in Paris.
As part of the deal, Icicle is acquiring the design house, its remaining four stores in France, and all employees. The eco-friendly fashion company, based in Shanghai, beat out seven other bidders for the struggling French label, marking its third major investment in France after opening a design centre in 2013 and acquiring real estate last year for its upcoming flagship store in Paris.
Gide’s advice covered all aspects of the bid process, including structuring, legal due diligence, drafting of the binding offer, and assistance at the hearing.
Gide is now advising the client on the implementation of the offer and take-over of the business, with a dedicated partner or associate from each relevant practice group: Caroline Texier (restructuring), Romain d’Innocente (corporate), Arnaud Michel (intellectual property), Bertrand Oldra (real estate), and Foulques de Rostolan (labour). Fan Jiannian is coordinating the team with the client and covering all Chinese aspects of the deal.
