Gide advises Guerbet, a pioneer in the field of contrast agents for medical imaging, on the completion of the acquisition of US leading specialty biopharmaceutical company Mallinckrodt’s Contrast Media and Delivery Systems business (CMDS).
Guerbet completed the definitive acquisition of Mallinckrodt’s CMDS activity, present in nearly 50 countries, on 27 November. In the terms of the agreement signed on 27 July 2015, the transaction is valued at USD 270 million, and is fully paid in cash and debt financed. The operation results in the creation of a new unit numbering some 2,500 employees for a turnover of approximately EUR 800 million, making Guerbet one of the world leaders in contrast products and imaging and services solutions.
The acquisition, which was closed on 27 November 2015 simultaneously in over 28 countries, was subject to approval by the competent regulatory authorities.
