On 13 May 2015, the European Commission authorised the acquisition, by SNCF Mobilités, of sole control over Eurostar International Limited (EIL) in Phase 1 (subject to certain commitments).
This operation takes place in the context of the sale by the UK Government of its stake in EIL to the consortium comprising Caisse de dépôt et placement du Québec (CDPQ) and Hermes Infrastructure.
Prior to this operation, EIL was jointly controlled by SNCF Mobilités and the UK Government (with the SNCB holding a minority non-controlling stake in EIL).
The case was managed by Gide (partner Laurent Godfroid, and associates Ségolène Pelsy, Romain Rard and Louise Macnab) for SNCF Mobilités (represented by Eve Monot, General Counsel “Activité Voyages SNCF”) and Lacourte Raquin Tatar (Serge Tatar and Antoine Egnell) on corporate law aspects.
The transaction was notified to the Commission in cooperation with CMS (counsel to EIL), Freshfields Brussels (counsel to SNCB), Freshfields London (counsel to the UK Government) and Clifford Chance (counsel to the consortium).
