13 December 2012: Gide acted as legal advisor to Rosbank in the sale of Belrosbank to Alfa-Bank (Belarus)
GLN Moscow advised Rosbank (Societe Generale group) on the sale of Belrosbank, a major Belarusian bank, to Alfa-Bank (Belarus).
Belrosbank CJSC was incorporated in 2003 by Rosbank OJSC. The bank's regional network numbers about 29 offices with 765 employees in all regions and major cities of Belarus. The bank's sale is being carried out within the framework of Rosbank's corporate strategy of refocusing its core operations on the Russian market and in turn within the framework of Alpha-Bank's international expansion strategy, as the acquisition of Belrosbank would allow nearly a twofold increase in its Belarusian assets.
The agreement to sell Belrosbank was reached on 23 November 2012. The envisaged closing of the deal is scheduled before the end of the year, upon the approval of competent regulating authorities.
GLN Moscow team, headed by partner Boris Arkhipov, Head of Corporate, and Alexander Akhmetbekov, senior associate, provided the full scope of services to Rosbank, including structuring, negotiation and documentation. It should be noted that the sale of Belrosbank is of one of the biggest M&A transactions to take place in the Republic of Belarus in 2012.
