Gide has advised Poleol and Imwind on the sale of Colombian developer Jemeiwaa-Kai, owning and developing a portfolio of five wind power projects totaling 648 MW, to AES Chivor, a Colombian subsidiary of Chilean power supplier AES Gener.
The five projects (Apotolorru, Carrizal, Casa Eléctrica, Irraipa and Jotomana) are all located in the northeast Guajira region of Colombia. Development was started in 2009 by Arnd Morschhäuser (Poleol, Ecotera, Contino and Infinivent), which later teamed up with Austrian Imwind group for this project.
Jemeiwaa-Kai has already acquired exclusive access to 549 MW of capacity on a new transmission line that will link the Guajira region to central Colombia from 2022.
This is the biggest transaction in the wind power sector in Colombia, which enables AES Chivor to become the leading wind power developer in the country.
Gide's team advising Poleol and Imwind on this transaction was led by Alexis Pailleret (partner, M&A), assisted by Chloé Bouhours (associate, M&A), Victor Grandguillaume (counsel, Projects) and Natasha Peter (counsel, Arbitration).
Gide partnered with law firm Posse Herrera Ruiz, a Colombian law firm in alliance with Gide's Best Friend law firm Cuatrecasas, on all Colombian law aspects of the transaction. Posse Herrera Ruiz's team was led by Alvaro José Rodríguez. Luxembourg-based law firm Linari also advised Poleol and Imwind.
AES Chivor was advised by an inhouse team led by AES Gener VP and general counsel María Paz Cerda, AES Chivor legal counsel and compliance officer Patricia Aparicio, and AES Gener attorney Sebastián Pérez Cotapos and by Colombian law firm Philippi Prietocarrizosa Ferrero DU & Uria.
