The Gide team advised MEDI-system (a company from the Orpea Group) on the acquisition of the “Angel Care” Elderly Care Facility in Wrocław, from Angel Poland Group, finalised on 2 January 2018, and on the acquisition of the Ostoya Care Facility in Stare Babice near Warsaw from Allenort Capital Fund, finalised in December 2017.
The “Angel Care” Facility in Wrocław, which was the subject of the first of the transactions, is a comprehensive elderly care facility, caring for seniors with various needs, both independent seniors and individuals requiring round-the-clock assistance, including those suffering from dementia. The centre will be the ninth such facility run by MEDI-system in Poland.
Gide advised on all legal matters concerning the project, from conducting a due diligence investigation into the company running the Angel Care Facility, to preparing and negotiating all the transactional documentation.
The project was carried out by a Gide team headed by Dariusz Tokarczuk (partner in charge of Gide Warsaw, legal counsel) and Błażej Czwarnok (counsel, advocate), and included, in particular, Joanna Karkoszka (associate, avocat à la cour) and Anna Ratajczyk-Sałamacha (associate, legal counsel).
Less than a month before, in December 2017, Gide also finalised the acquisition of the Ostoya Care Facility in Stare Babice near Warsaw by MEDI-system from Allenort Capital Fund.
The due diligence of the target companies and the transactional documentation was performed by a team headed by Tomasz Roszczyc (associate, advocate) and Błażej Czwarnok (counsel, advocate).
These projects continue the long-term cooperation between the MEDI-system network and Gide, which in 2015 provided comprehensive advice on the acquisition of a Polish company by the French Orpea Group.
