Gide's Warsaw office co-managed a group of law firms advising Steinhoff International Holdings on a cross-border transaction involving multiple jurisdictions (Switzerland, Germany, Austria, Liechtenstein, Poland, and Hungary).
The transaction brought about the client’s withdrawal from European furniture production and the sale of companies located in Europe, as well as the sell-off of tangible and intangible assets, in particular trademarks, to the Cotta Group based in Liechtenstein.
Gide managed all the legal matters concerning this cross-border project, from conducting a vendor due diligence of Steinpol Central Services sp. z o.o. to preparing and negotiating transactional documentation, while coordinating the project with law firms in other relevant jurisdictions.
From Gide, the lawyers who conducted the transaction were partner Paweł Grześkowiak, and senior associates Edyta Zalewska and Michał Fąderski.
Steinhoff International Holdings is an international retail holding company dual listed on the Frankfurt Stock Exchange and the Johannesburg Stock Exchange, with more than 40 local brands in over 30 countries, dealing mainly in furniture and household goods. Gide advised on the sale of Steinpol Central Services sp. z o.o. in Poland, Prolog Vertriebs GmbH in Germany, and Quattro Mobili Kft and Kanizsa Trend Kft in Hungary.
Steinpol Central Services sp. z o.o. with its registered office in Rzepin (Poland) produces upholstered furniture, operating eight plants in Poland and one site in Hungary. Quattro Mobili Kft and Kanizsa Trend Kft are both located in Nagykanizsa, Hungary, a city with decades of furniture manufacturing tradition.
Gide Warsaw worked on the transaction with the law firms Python from Switzerland (involved for transaction management), WOLF THEISS in Hungary, and King & Spalding in Germany.
