Securitisation

Securitisation enables market players to transfer or diversify risks and finance projects and activities. This complex financial mechanism requires specialist legal and tax expertise and an in-depth understanding of the way in which the relevant sectors and markets work.  

Based in Paris and London, we have a dedicated team which specialises in structured finance and securitisation. Supported by our local offices around the world and our international network of partner firms, it is recognised as one of the best teams in France and Europe. 

The team helps leading players, including financial institutions, companies, investment funds and public entities, with their cross-border and domestic transactions.  

We offer our clients a comprehensive and multidisciplinary approach, drawing on the wide-ranging expertise of our teams in financial services, capital markets, public law, tax and litigation. We work on innovative and emblematic transactions involving various asset classes and structures.  

We are also involved in the development of financial standards and contribute to the work of the relevant regulatory authorities and professional associations.  

Areas of intervention

  • We assist with the structuring, documentation and implementation of securitisation transactions involving one or more tranches, with or without subordination or credit enhancement mechanisms. 

  • We provide assistance and consider the legal, tax, accounting and regulatory implications. 

  • We advise on the use of different techniques, including factoring, forfaiting, Dailly assignments and assignments of future receivables. 

  • We advise on programmes which facilitate access to financing for companies, particularly SMEs, through trade receivables securitisation. 

  • We provide expert support for the issuing of covered bonds, backed by a group of assets. 

  • We provide support through appropriate structures, including mutual securitisation funds (Fonds Commun de Titrisation or FCTs in French) and building societies (Société de Crédit Foncier or SCFs).  

  • We help our clients to isolate the cash flow generated by all or part of a company’s activity to service a senior debt issued by a special purpose entity.
