Infrastructure

Faced with growing demand for high-quality, sustainable and environmentally friendly infrastructure, public and private players must contend with increasingly complex legal challenges.

Whether it is transportation, energy, telecommunications, public facilities, urban development, or projects in the defense and aerospace sectors, infrastructure is at the heart of current economic, environmental, and societal challenges.

Investment opportunities are multiplying, but they require solutions tailored to the specificities of each market, sector, and project. Our team typically supports clients in the development and management of some of the world’s most significant projects.

We offer each of our clients comprehensive and tailored support for their infrastructure projects, covering all legal and fiscal aspects, whether it involves road or rail transport infrastructure, airports, ports, stadiums, telecommunications, treatment or desalination plants, or technological and innovative services.

We have recognised experience in France and internationally, particularly in Africa, in public-private partnerships (PPP), concessions, project contracts, structured financing, mergers and acquisitions, tax, public law and litigation.

Our dedicated team works with all types of industry players: public authorities, sponsors, investment funds, banks, international and multilateral financial institutions, manufacturers, builders and operators.

Our strength lies in our ability to leverage the necessary resources in each area of law to provide innovative solutions which are tailored to the needs of each project.

Areas of intervention

  • We assist with all types of infrastructure (roads, ports, airports, railway lines, public facilities) and energy production installations (dams, solar power plants, wind turbines, biofuels, thermal power plants, nuclear complexes), as well as projects related to mining, gas, and oil. We advise our clients on the structuring, design, construction, financing, operation, and divestment of projects, utilising the most suitable techniques (PPP, concessions, BOT, EPC, O&M, PPA, etc.).

  • We advise our clients on all types of structured financing related to infrastructure projects, whether public, private, or in partnership. We intervene at all stages of financing operations, from structuring to negotiation, from drafting to setting up guarantees, and from execution to restructuring. We address all issues related to the “bankability” of project contracts, as well as the allocation of risks among the various parties involved. We utilise all available financing techniques in the market: bank financing, bond financing, Islamic finance, asset financing, acquisition financing, securitisation, derivatives, and more.

  • We assist our clients with the tax aspects of their infrastructure projects. We advise them on the tax structuring of projects and their financing, on the tax implications of project contracts, on the tax regimes applicable to various sectors (including international tax treaties), on tax disputes, and more.

  • We support our clients on public law and environmental law aspects related to infrastructure projects. We advise them on tender procedures, the award and execution of public contracts, administrative authorisations, sector-specific regulations, environmental and social standards, administrative litigation, and more.

  • We advise our clients on mergers and acquisitions related to infrastructure projects, whether it involves acquisitions or divestments of assets or stakes in projects, portfolios, or platforms, fundraising, and more. We assist them with the legal, financial, tax, and regulatory aspects of transactions, as well as due diligence, negotiations, and implementation.

  • We assist our clients in preventing, managing, and resolving disputes, taking into account the strategic and economic interests at stake. We have recognised experience in international arbitration involving infrastructure projects.
