Gide has advised Eiffage on negotiating a partnership with CMA CGM and Astris Finance as part of the Puerto Antioquia concession project that they have been following alongside other partners in Colombia, including Puertos, Inversiones y Obras S.A.S., a local port developer and operator, as well as representatives of the banana industry such as Banacol and Uniban.
The concession contract was awarded in 2019 by the Colombian National Infrastructure Agency (Agencia Nacional de Infraestructura) for a period of 30 years and covers the design, development, financing, construction, operation and maintenance of a multimodal port terminal located in Turbo, in the Urabá region of Colombia.
The port infrastructure will be built by a consortium made up of Eiffage Génie Civil Marine and Termotécnica, while CMA CGM will operate the port. This is one of the largest French investments in Colombia in recent years.
The project is financed by the Inter-American Development Bank, a pool of Colombian banks and Global Infrastructure Partners. The financing's closing has just taken place.
Gide's team advising Eiffage comprised partner Alexis Pailleret, working with associate Chloé Bouhours on M&A aspects, as well as partner Marie Bouvet-Guiramand on project financing aspects.
Eiffage was also advised by Posse Herrera Ruiz.
CMA CGM was advised by Willkie Farr & Gallagher LLP and Herbert Smith Freehills.
