Gide advised Hossanova Sp. z o.o. (“Hossanova”), formerly Trans-Formers Holding Sp. z o.o., on the sale of 100% of the shares in Przedsiębiorstwo Higieny Komunalnej Trans-Formers Wrocław Sp. z o.o. (“Trans-Formers Wrocław”) and Trans-Formers Karpatia Sp. z o.o. (“Trans-Formers Karpatia”) to FBSerwis S.A. (“FBSerwis”).
Trans-Formers Wrocław and Trans-Formers Karpatia provide services to facilities for the mechanical and biological treatment of municipal waste located in Kryniczno near Wrocław, and in Tarnów, respectively, which themselves provide services to a large part of the Dolnośląskie, Małopolskie and Podkarpackie voivodeships.
Trans-Formers Wrocław and Trans-Formers Karpatia have been active in the municipal services sector since the beginning of the 1990s. They were among the first companies in Poland to introduce waste sorting for recycling.
FBSerwis, with Ferrovial Services International Ltd. and Budimex S.A. as shareholders, is active in real estate management, infrastructure management and environmental services.
The value of the transaction was PLN 155 million.
Gide's Warsaw office provided legal advice on the project, including the negotiation of the share purchase agreement concerning shares in Trans-Formers Wrocław and Trans-Formers Karpatia, as well as the negotiation of other documentation related to the transaction. The team was led by partner Mateusz Chmielewski, with assistance from associates Dorota Jenerowicz, Anna Ratajczyk-Sałamacha and Paweł Wasiel.
