Gide advises Farmaceutici Procemsa on the acquisition of Laboratoria Natury

Gide’s Warsaw office has advised Farmaceutici Procemsa, a portfolio company of Investindustrial, on the acquisition of 100% of the shares in the share capital of Laboratoria Natury sp. z o.o., a company specialising in the production of food supplements and functional food, from Maabarot Products Ltd.

The Gide Warsaw team, comprising Partner Paweł Grześkowiak, Counsel Wojciech Czyżewski, and associates Mateusz Więckowski and Magdalena Zawiślak, was responsible for providing comprehensive advice on the transaction, including conducting a due diligence investigation, structuring the transaction and supporting the client during negotiations.

This is yet another transaction completed by Farmaceutici Procemsa on the Polish CDMO (contract development and manufacturing organisation) market on which the Gide team has advised. Previously, the firm’s lawyers supported the company on the acquisition of a majority stake in Master Pharm S.A., one of the leading contract development and manufacturing companies in Poland.

Founded in 2001, Laboratoria Natury specialises in the production of high-quality dietary supplements and functional foods using the CDMO model.

Founded in Turin in 1939, Farmaceutici Procemsa specialises in contract development, manufacturing and packaging vitamins, food supplements, proprietary formulations and cosmeceuticals for third parties. The company’s client portfolio includes leading multinational corporations active in the pharma, personal care and well-being industries.
