Vanessa Tollis is co-head of Gide's New York office and head of the U.S. tax practice. She specializes in the U.S. tax aspects of cross-border transactions, inbound and outbound.
Vanessa Tollis advises participants and sponsors in the global capital markets on securities offerings, as well as lenders and borrowers on LBO and other structured finance transactions, including securitizations. She advises investment funds and investors on cross-border fund structures and investments and European companies on executive and employee equity compensation. In addition she advises high net worth individuals compliance and disclosure concerns, and U.S. and foreign clients on tax planning for starting or expanding operations abroad or in the U.S. market.
With more than 20 years of experience, Ms. Tollis has significant expertise advising clients on a broad range of key U.S. international tax matters, including: U.S. tax treaty eligibility, portfolio interest exemption and withholding tax; anti-inversion thresholds; debt/equity characterization; U.S. trade or business thresholds; entity classification; passive foreign investment companies; controlled foreign corporations; cross-border IP transfers; and cross-border equity compensation. She also has considerable experience in related non-tax transactional work, including U.S. general corporate and secured transactions.
